WHEREAS The Royal Trust Company Mortgage Corporation (hereinafter referred to as "the company") is a corporation incorporated by letters patent issued under the laws of the Province of Quebec dated March 21, 1912, as varied and amended by supplementary letters patent;

AND WHEREAS the company was a loan company within the meaning of The Companies Act;

AND WHEREAS An Act respecting the Royal Trust Company Mortgage Corporation was assented to March 30, 1961;

AND WHEREAS the Minister of Justice has caused the Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;

ATTENDU QUE la Société d'Hypothèques de la Compagnie Trust Royal (ci-après dénommée la « Société ») est une corporation constituée par lettres patentes délivrées en vertu des lois de la province de Québec, datées du 21 mars 1912 et modifiées par lettres patentes supplémentaires;

ATTENDU QUE la Société est une compagnie de prêt au sens de la loi intitulée « The Companies Act »;

ATTENDU QUE la loi intitulée « An Act respecting the Royal Trust Company Mortgage Corporation » a été sanctionnée le 30 mars 1961;

ATTENDU QUE le ministre de la Justice a fait rédiger la présente loi en français et en anglais en vue de sa réadoption en conformité avec un jugement et une ordonnance de la Cour suprême du Canada datés respectivement du 13 juin 1985 et du 4 novembre 1985;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Authority to carry on business continued

1 The authority of Royal Trust Company Mortgage Corporation to carry on business in the Province of Manitoba is continued.

Prorogation

Application of The Corporations Act

2 The company is subject to, and shall be governed by, The Corporations Act in the same manner, and to the same extent, as loan companies incorporated under the authority of an Act of the Legislature of Manitoba and, without limiting the generality of the foregoing, is hereby authorized (subject to the provisions of its charter) to acquire, hold, mortgage, alienate, and otherwise dispose of, or lend money on the security of, real estate in the province and any interest therein to the same extent, and for the same purposes, and subject to the same conditions and limitations, as if the company had been incorporated under The Corporations Act.

2 La Société est assujettie à la Loi sur les corporations au même titre que les compagnies de prêt constituées en corporation en vertu d'une loi de la Législature du Manitoba. Sans préjudice de la portée générale de ce qui précède, la Société peut (sous réserve des dispositions de son acte constitutif) acquérir, détenir, hypothéquer, aliéner des biens réels situés dans la province ainsi que des intérêts y relatifs, en disposer autrement, et prêter des sommes sur la garantie de ces biens réels, de la même manière que si elle avait été constituée en corporation en vertu de la Loi sur les corporations.
