The Missionary Society of the Most Holy Redeemer Incorporation Act
WHEREAS a religious community of Roman Catholic priests existed in the City of Brandon, in the Province of Manitoba, under the name of the Redemptorist Fathers, who devoted themselves to the works of the sacred ministry;
AND WHEREAS the persons hereinafter named, by their petition, prayed that the said religious community should be incorporated: the Reverend Augustine Duke, superior of the said religious community, the Reverend Thomas Grochowski, the Reverend Michael Gannon and the Reverend George Mylett, members of the said religous community
AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to Incorporate the Missionary Society of the Most Holy Redeemer, assented to February 20, 1914;
AND WHEREAS the Minister of Justice has caused the Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;
THEREFORE, HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:
Missionary Society of the Most Holy Redeemer (hereinafter referred to as "the corporation") is continued as a corporation consisting of those persons who are members on the coming into force of this Act together with all other persons who shall become members of the said corporation.
No one but persons belonging to the religious community in the Roman Catholic Church known as The Congregation of the Most Holy Redeemer shall be eligible to membership in the corporation.
The objects of the corporation are:
(a) the support of public worship;
(b) the religious instruction of the people, especially of the poor, particularly by giving missions in cities, towns, villages and parishes;
(c) the temporary care of small congregations not able to support a clergyman;
(d) the imparting of moral education to indigent and orphan children; the support and maintenance of asylums for orphans and indigent children;
(e) the support of educational and missionary undertakings within its sphere of duty;
(f) the maintenance of public cemeteries attached to the houses of public worship under its charge, subject to any laws of Manitoba relating to the same, and the erection and care of halls attached or appurtenant to houses of public worship under its charge for the public purposes appertaining to such houses of public worship respectively.
For the benefit and in furtherance of the objects of the corporation it may purchase, acquire, take, have, hold, receive, possess, inherit, retain and enjoy property, real or personal, corporeal or incorporeal whatsoever, and for any or every estate or interest therein whatsoever given, granted, devised or bequeathed to it in any manner or way whatsoever, provided that the net annual income shall not exceed the value of $7,000., and may also sell, convey, exchange, alienate, mortgage, lease, demise or otherwise dispose of any such real or personal property.
The corporation shall have full power to make, establish and sanction, amend, repeal or abrogate all such rules, regulations and by-laws as it shall judge necessary for its good administration and government provided the same be not contrary to law.
No individual member of the corporation shall have power to assign or transfer any interest which he may have in any real or personal estate of the Redemptorist Fathers, but such interest or estate shall remain at all times under the control of the corporation, subject only to the payment of the just debts incurred by the corporation.
The corporation shall be governed by a council of administration of four members, namely, the president, the secretary-treasurer and two other members who shall be named according to the powers given by section 5 or by the powers and privileges incident to a corporation by Act of Assembly of this Province, except that the superior of the said religious community of the said Redemptorist Fathers, in the City of Brandon, in this Province, shall, during his tenure of office as such superior, hold the office of president of the said council.
The members of the said council of administration shall be the administrators of the corporation according to the rules and constitution of the said religious community of the Redemptorist Fathers, not being contrary to law, and shall be known as the council of administration of the Missionary Society of the Most Holy Redeemer in the Province of Manitoba. The said council of administration shall have authority to delegate their powers to one of their number or to any number of members of the said religious community of the Redemptorist Fathers, and the acts of the member or members thus delegated shall be as obligatory as if they had been passed by the council of administration.
President of council given certain powers
The president of the council of administration is hereby empowered and authorized to transact and manage all banking business of the corporation, to pay and receive all money, to give acquittances for the same; to make, draw and sign all orders, cheques and drafts for payment of money on any bank, or on its president, manager or other authorized officer or agent; to settle, balance and arrange all books and accounts, and generally to do every act, matter and thing which the nature of the business of the corporation, with the said bank or banks, shall or may require.
In all cases where the district registrar of any land titles district in Manitoba is satisfied that any real estate standing in the names of any individuals actually belongs to the corporation, he many cancel the certificate of title standing in the names of such individuals and may issue a certificate of title for said real estate in the name of the corporation.
Any deed, transfer, mortgage, charge or other instrument relating to or dealing with real estate, or any interest therein, vested in the corporation shall be deemed to be and shall be duly executed and shall be sufficient for the purposes for which same is intended if there are affixed thereto the seal of the corporation and the signature of the president of the council of administration and some other person appointed for such purpose by the president.
NOTE: This Act replaces S.M. 1914, c. 150.
