The Salvation Army Golden West Centennial Lodge Incorporation Act

WHEREAS certain persons, by their petition, prayed that Grace Hospital should be incorporated;
AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to incorporate "Grace Hospital", assented to February 8, 1904;
AND WHEREAS the following persons constituted the first board of management of the corporation: Evangeline Cory Booth, Clement Theodore Jacobs, Charles Wilfred Creighton, Jennie Southall, Ethel Kerr, George Burditt and George Lewis Phillips;
AND WHEREAS the Act was subsequently amended and the name of the corporation changed to The Salvation Army Grace General Hospital;
AND WHEREAS the Minister of Justice caused the Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;
AND WHEREAS the corporation transferred the ownership and operation of The Salvation Army Grace General Hospital, effective April 1, 2008, to the Winnipeg Regional Health Authority pursuant to The Regional Health Authorities Act;
THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:
The corporation is continued under the name The Salvation Army Golden West Centennial Lodge (hereinafter called the "corporation").
The corporation shall have, enjoy and exercise all the powers, privileges and functions
(a) [repealed] S.M. 2008, c. 32, s. 4;
(b) of an owner or operator of one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, in Winnipeg, including one or more personal care homes.
The corporation has all the powers necessary to do such things as are incidental or conducive to the attainment of its objects and purposes as contemplated by this Act, including, without limiting the generality of the foregoing, the power to
(a) purchase, acquire, receive, accept, build, hold, possess and enjoy any lands, tenements and hereditaments, real and personal property and estate, together with such grants, devises, gifts and bequests as may be made by and received from the Government of Canada or the Government of Manitoba, and of any municipality or other corporation, person or persons whatsoever, for the sole use and benefit of the corporation;
(b) when authorized by resolution of the board of management hereinafter mentioned, and without limiting the generality of this clause,
(i) borrow money on the credit of the corporation,
(ii) issue, sell or pledge securities of the corporation,
(iii) charge, mortgage, hypothecate or pledge all or any of the real or personal property of the corporation, including book debts, rights, powers, franchises and undertakings, to secure any securities or any money borrowed, or other debt, or any other obligation or liability of the corporation; and
(c) without limiting the generality of the foregoing,
(i) [repealed] S.M. 2008, c. 32, s. 5,
(ii) own, build or operate one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, in Winnipeg, including one or more personal care homes.
Subject to the provisions of this Act and The Corporations Act, the corporation has the capacity, powers, rights and privileges of a natural person.
The affairs of the corporation shall be managed by a board of management consisting of not less than 10 nor more than 15 individuals who shall be appointed, from time to time, by The Governing Council of The Salvation Army in Canada or its successor, in accordance with the by-laws made from time to time by The Governing Council of The Salvation Army in Canada or its successor and the by-laws made from time to time by the corporation.
If any member of the board of management dies, resigns, becomes incapable, ceases to reside in Canada or refuses or neglects to act, or if a majority of the members of the board of management decides to remove a member, The Governing Council of The Salvation Army in Canada or its successor may appoint another individual to replace the member or fill the vacancy so created.
The Governing Council of The Salvation Army in Canada or its successor shall, from time to time, appoint from among the members of the board of management a chairperson and a vice-chairperson, and the board of management shall, from time to time, appoint from among its members such other officers as it may from time to time consider necessary.
The board of management may appoint the following committees as well as the members thereof for the conduct of the business of the corporation:
(a) The Finance Committee;
(b) The Strategic Planning Committee;
(c) The Quality Committee;
(d) The Executive Committee.
The board of management may also appoint such additional committees, for such terms of office and made up of such persons, either from among its own members or otherwise, as it may from time to time determine.
The board of management shall have power to make by-laws, rules and regulations, not being contrary to law or the provisions of this Act, for all purposes relating to the board of management of, and any property belonging to, the corporation and, without limiting the generality of the foregoing, shall have power to make by-laws, rules and regulations
(a) [repealed] S.M. 2008, c. 32, s. 8;
(b) relating to the ownership or operation of one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, including one or more personal care homes; and
(c) generally for the purposes of the corporation.
A by-law, rule or regulation under subsection (1) is not effective until it is approved in writing by The Governing Council of The Salvation Army in Canada.
NOTE: This Act replaces S.M. 1904, c. 71.
