WHEREAS the persons hereinafter named, by their petition, prayed that The St. Andrew's River Heights United Church Foundation should be incorporated: John Donald McNairnay, Deputy Minister, David Laycock, Trust Officer, and Ian Reid Anderson Macmillan, Barrister-at-Law, all of the City of Winnipeg in the Province of Manitoba;

AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to incorporate The St. Andrew's River Heights United Church Foundation, assented to June 19, 1975;

AND WHEREAS the Minister of Justice has caused this Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;

ATTENDU QUE John Donald McNairnay, sous-ministre, David Laycock, agent de compagnie de fiducie, et Ian Reid Anderson Macmillan, avocat, tous de Winnipeg dans la province du Manitoba ont, par voie de pétition, demandé que « The St. Andrew's River Heights United Church Foundation » soit constituée en corporation;

ATTENDU QUE leur demande a été reçue et qu'il en a résulté l'adoption de la loi intitulée « An Act to incorporate The St. Andrew's River Heights United Church Foundation », sanctionnée le 19 juin 1975;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Continuation

1 The St. Andrew's River Heights United Church Foundation (hereinafter referred to as "the Foundation") is continued as a corporation.

Prorogation

1 L'organisme dénommé « The St. Andrew's River Heights United Church Foundation » (ci-après appelé la « Fondation ») est prorogé à titre de corporation.

Composition of Foundation

2(1) The Foundation shall consist of the members of the board of trustees for the time being of the Foundation.

Membership

2(2) The board of trustees of the Foundation (hereinafter referred to as "the Board") shall consist of nine persons; five of whom shall be ex officio members as follows:

(a) the senior minister of St. Andrew's River Heights United Church (hereinafter referred to as "the Church");

(b) the chairman of the General Board of the Church or its successor;

(d) the chairman of the Property and Administration Committee of the Church or its successor; and

(e) the President of the United Church Women of the Church or succeeding body of persons;

and four of whom shall be elected by the congregation of the Church at its annual meeting, one of whom shall retire each year, but shall be eligible for re-election.

2(2) Le conseil d'administration de la Fondation (ci-après appelé « le conseil ») est constitué de neuf personnes; les cinq personnes suivantes sont membres d'office du conseil :

a) le ministre supérieur de l'Église unie de St. Andrew à River Heights (ci-après appelée « l'Église »);

b) le président du conseil général de l'Église, ou du corps y succédant;

c) le président du comité des finances de l'Église, ou du corps y succédant;

d) le président du comité chargé de l'administration et des biens de l'Église, ou du corps y succédant;

e) la présidente des « Femmes de l'Église unie » de l'Église ou du corps y succédant.

Les quatre autres membres sont élus par la congrégation de l'Église à son assemblée annuelle, l'un d'entre eux devant se retirer chaque année tout en pouvant recevoir un nouveau mandat.

2(3) The Board shall fill any vacancies existing on the Board from time to time and for this purpose may appoint such persons to the Board as they, in their sole discretion, deem qualified.

3 The head office of the Foundation shall be in the City of Winnipeg in the Province of Manitoba.

Objects

4 The objects of the Foundation are to receive donations in trust for St. Andrew's River Heights United Church in the City of Winnipeg in the Province of Manitoba and to manage the trust fund, so that the fund shall be devoted in perpetuity to the work of St. Andrew's River Heights United Church.

Members not to gain from corporation

5 No part of the trust fund shall be payable to or otherwise available for the personal benefit of the members of the Board or of any other person, except such as may be required for the payment of reasonable remuneration to any employee of the Foundation or for the reimbursement of reasonable expenses incurred on behalf of the Foundation.

Powers of corporation

6 The Foundation has all the powers necessary to do such things as are incidental or conducive to the attainment of its objects.

Powers of Board

7 The Board shall administer the affairs of the Foundation and may make, amend and repeal by-laws for the governing of the Foundation and may make or cause to be made any description of contract that it may, by law, enter into for and on behalf of the Foundation.

7 Le conseil administre les affaires internes de la Fondation; il peut prendre, modifier ou annuler des règlements administratifs de la Fondation et peut faire ou faire faire pour la Fondation tout genre de contrat qu'il peut juridiquement conclure au nom de la Fondation ou pour le compte de cette dernière.

Winding up

8 If the trust fund is wound up or otherwise liquidated, the assets of the Foundation, subject to any trust conditions attached thereto, shall be transferred to the Winnipeg Presbytery of the United Church of Canada or, at the discretion of the Board, to any religious, charitable or other body having objects similar to those of the Foundation.

8 Si le fonds en fiducie est dissous ou de toute autre manière liquidé, l'actif de la Fondation, sous réserve de toute condition fiduciaire qui s'y rapporte, est transféré au consistoire de Winnipeg de l'Église unie du Canada ou, à la discrétion du conseil, à tout autre organisme religieux, de bienfaisance ou autre dont les objets sont semblables à ceux de la Fondation.
