WHEREAS An Act to Ratify a certain Agreement on behalf of His Majesty respecting the Operation of a Railway to the Flin Flon Mines and to amend "An Act to Incorporate the 'Manitoba Northern Railway Company'" was assented to February 7, 1928;
AND WHEREAS it is considered advisable to continue this Act in the body of Manitoba's laws in its original form without revision;
AND WHEREAS the Minister of Justice has caused this Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;
ATTENDU QUE la loi « An Act to Ratify a certain Agreement on behalf of His Majesty respecting the Operation of a Railway to the Flin Flon Mines and to amend "An Act to Incorporate the 'Manitoba Northern Railway Company'" » a été sanctionnée le 7 février 1928;
ATTENDU QU'il est jugé opportun d'intégier la présente loi, sans révision, dans l'ensemble des lois du Manitoba;
ATTENDU QUE le ministre de la Justice a fait rédiger la présente loi en français et en anglais en vue de sa réadoption en conformité avec un jugement et une ordonnance de la Cour suprême du Canada datés respectivement du 13 juin 1985 et du 4 novembre 1985;
THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Agreement to pay deficit on railway up to $100,000 per annum for five years validated
1 The agreement, dated the seventeenth day of December, 1927, made between His Majesty and the Manitoba Northern Railway Company and Canadian National Railway Company, a copy of which forms the schedule hereto, is hereby approved, ratified and confirmed.

Moneys required to be voted hereafter
2 The sums (if any) required to be paid by the Province under the said agreement shall be paid only out of moneys hereafter provided by the Legislature for the purpose.

HIS MAJESTY THE KING, in the right of the Province of Manitoba, herein represented by the President of the Executive Council and the Railway Commissioner of Manitoba (hereinafter called "the Province"),
of the First Part;
MANITOBA NORTHERN RAILWAY COMPANY (hereinafter called the "Manitoba Northern"),
of the Second Part;
-and-
CANADIAN NATIONAL RAILWAY COMPANY (hereinafter called "Canadian National"),
of the Third Part.
SA MAJESTÉ LE ROI, du chef de la province du Manitoba, représenté par le président du Conseil exécutif et le commissaire aux chemins de fer du Manitoba (ci-après appelée la « province »),
en première partie,
la « Manitoba Northern Railway Company » (ci-après appelée la « Manitoba Northern »)

Whereas the Province, for the purpose of developing its resources, is desirous that a line of railway should be constructed from a connection with the Hudson Bay Railway, about seven (7) miles north of The Pas, north-westerly to the property known as the Flin Flon Mine, in the Province of Manitoba;
And whereas the Manitoba Northern is a company incorporated by statute of the Province of Manitoba and is empowered to construct the said line and has undertaken to do so upon the conditions hereinafter set out, and to lease the said line, when constructed, to Canadian National which will operate the same;
And whereas it is anticipated that for some years after the said line of railway is completed deficits in net income may be sustained by the operating company;
And whereas the Province has agreed to assist the project in the manner hereinafter set forth;
Witnesseth that, in consideration of the premises, the parties hereto have agreed each with the others as follows:
Attendu que la province, aux fins du développement de ses ressources, souhaite la construction d'une ligne de chemin de fer d'un point de jonction sur le chemin de fer Hudson Bay, environ sept milles au nord du Pas, et allant dans une direction nord-ouest jusqu'à l'unité foncière connue comme la Mine de Flin Flon dans la province du Manitoba;
Attendu que la « Manitoba Northern », constituée en corporation en vertu d'une loi de la province du Manitoba, peut construire la ligne décrite ci-dessus et s'est engagée à le faire aux conditions énoncées ci-dessous et, la ligne une fois construite, à la donner à bail au Canadien National;
Attendu qu'il est prévisible que la compagnie exploitante ait, pendant quelques années, à supporter des déficits dans ses revenus nets;
Attendu que la province a convenu d'aider à la réalisation du projet de la manière énoncée ci-dessous;
En foi de quoi, les parties aux présentes ont convenu de ce qui suit en considération de ce qui précède :
1 The Manitoba Northern agrees to forthwith proceed with the construction of the said line of railway in accordance with plans and specifications to be approved by the Minister of Railways for Canada and to complete such construction with all reasonable expedition and to lease the said line of railway when completed to Canadian National;
1 La « Manitoba Northern » convient de poursuivre sans délai la construction de la ligne de chemin de fer en conformité avec les plans et les devis descriptifs approuvés par le ministre des chemins de fer du Canada et à en parachever la construction en toute diligence raisonnable et de donner à bail la ligne de chemin de fer parachevée au Canadien National;
2 Canadian National agrees that the said line of railway upon completion shall be maintained in good order and condition and shall be operated without interruption in accordance with the needs of traffic and of the travelling public; any dispute as to the sufficiency of such service shall be determined by the Board of Railway Commissioners for Canada; provided, however, that if default be made by Flin Flon Mines, Limited, the owner of the Flin Flon Mine, or its successors or assigns, in its agreement with the Manitoba Northern to construct or have constructed on or in connection with its said property, a mill and other reduction works and a power plant, within the time provided for so doing, the Canadian National may cease maintenance and operation of the said line of railway and thereafter the Province shall be released from its obligations hereunder;
2 Le Canadien National s'engage à entretenir en bon état la ligne de chemin de fer parachevée et à l'exploiter sans interruption en conformité avec les nécessités du trafic et les besoins du public voyageur; tout différend quant à la suffisance de ce service est tranché par la Commission des Chemins de fer du Canada; toutefois, advenant tout manquement de la « Flin Flon Mines, Limited », le propriétaire de cette mine, ou ses successeurs et ses ayants-droit, à son entente avec la « Manitoba Northern » de construire ou de faire construire sur ses propriétés un moulin et d'autres usines de réduction et une centrale énergétique, dans le délai prévu, le Canadien National peut cesser l'entretien et l'exploitation de la ligne de chemin de fer et, par la suite, la province est libérée de ses obligations aux termes de la présente loi;
3 If, after the said line of railway is completed there should be an annual operating deficit in the Canadian National's net income in respect of the maintenance and operation thereof the Province agrees that it will, for the period of five years from the date on which the said line of railway is with the leave of the Board of Railway Commissioners opened for the carriage of traffic by Canadian National, pay annually to Canadian National within thirty (30) days after the receipt of the certificate hereinafter provided for in the next succeeding paragraph of this agreement, the annual operating deficit up to but not exceeding the amount of One Hundred Thousand Dollars ($100,000) in any one year, such deficit to be ascertained according to such formula as shall be approved in writing by the Board of Railway Commissioners for Canada or such officer of the said board as the said board may appoint, it being agreed that in such formula there shall be included as an operating expense the amount of rental paid annually by the Canadian National to Manitoba Northern for lease of the line of railway, but such rental so charged for any year is not to exceed the amount of interest paid or payable by the Manitoba Northern on the capital cost of the line of railway at the date of the taking over of the same for operation by the Canadian National;
3 En cas de déficit d'exploitation annuel dans le revenu annuel net du Canadien National relativement à l'entretien et à l'exploitation de la ligne de in de fer parachevée, mentionnée plus haut, la province s'engage à payer annuellement le déficit, au plus tard 30 jours après réception du certificat visé par le paragraphe suivant, pour une période de cinq ans à partir de la date d'ouverture, par autorisation de la Commission des Chemins de fer du Canada, de la ligne au transport de trafic par la Canadien National, jusqu'à concurrence de 100 000 dollars pour une même année; le déficit est évalué selon une formule approuvée par écrit par la Commission des Chemins de fer du Canada ou par un agent de la Commission nommé par celle-ci et il est convenu qu'en vertu de cette formule le loyer payé annuellement par le Canadien National à la « Manitoba Northern » pour la location de la ligne de chemin de fer est considéré comme une dépense d'exploitation; toutefois, ce loyer n'excède pas le montant des intérêts payés ou payables par la « Manitoba Northern » sur le coût en capital de la ligne de chemin de fer à la date de la prise en charge de celle-ci par le Canadien National pour exploitation;
4 It is mutually agreed that the certificate of the Vice-President of Finance of Canadian National or such officer as may at the time be performing the duties of such Vice-President (which certificate shall contain a summarized statement of account showing the deficit), certified as correct in accordance with said formula by the Chief Traffic Officer of the Board of Railway Commissioners for Canada, shall be conclusive evidence as to the existence and amount of such deficit in any year, but the Province may, if it so desires, take steps at its own expense to verify the statements contained in any such certificate and for such purpose shall have access to all the records and accounts upon which the certificate is founded, and any inaccuracies discovered shall be rectified in subsequent years, but no payments due or becoming due shall be deferred pending such verification;
4 Les parties conviennent mutuellement que le certificat du vice-président aux finances du Canadien National ou du dirigeant qui assume la vice-présidence (ce certificat devant comporter des états de compte simplifiés indiquant le déficit), certifié, conformément à la formule, exact par le responsable en chef du trafic, de la Commission des Chemins de fer du Canada, constitue une preuve concluante du déficit et de son montant pour une même année; toutefois, la province peut, si elle le juge souhaitable, prendre, à ses frais, des mesures pour vérifier les états contenus dans le certificat et, à cette fin, a accès à tous les registres et les comptes sur lesquels le certificat est fondé et toute inexactitude découverte est rectifiée dans les années suivantes, mais aucun paiement échu ou à échoir n'est suspendu en raison d'une vérification en cours;
5 This agreement shall be binding upon and shall enure for the benefit of the successors and assigns of Manitoba Northern and Canadian National;
