WHEREAS Montreal Trust Company entered into an agreement dated March 15, 1974, with Investors Trust Company providing for the acquisition by Montreal Trust Company of all the business, undertaking and assets of Investors Trust Company, all trusts, trust estates and appointments of every kind and description granted to or assumed or held by Investors Trust Company and all moneys received or deemed to have been received by Investors Trust Company in trust and all of the rights and powers of Investors Trust Company with respect thereto and the assumption by Montreal Trust Company of all debts, duties, obligations and liabilities of Investors Trust Company;

AND WHEREAS Montreal Trust Company, by its petition, prayed for special legislation in respect to certain matters;

AND WHEREAS that prayer was granted, and resulted in the enactment of The Montreal Trust Company Act, 1974, assented to June 10, 1974;

AND WHEREAS the Minister of Justice has caused the Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;

ATTENDU QUE la Compagnie Montréal Trust a conclu une entente datée du 15 mars 1974 avec la « Investors Trust Company » prévoyant l'acquisition par la Compagnie Montréal Trust de la totalité de l'entreprise et des éléments d'actif de la « Investors Trust Company », de toutes les fiducies, tous les biens en fiducie et toutes les nominations octroyés à la « Investors Trust Company » ou pris en charge par elle et de tous les fonds reçus ou réputés avoir été reçus par elle en fiducie et de tous ses droits et pouvoirs y afférents, et prévoyant aussi la prise en charge par la Compagnie Montréal Trust de toutes les dettes, les obligations et les responsabilités de la « Investors Trust Company »;

ATTENDU QUE la Compagnie Montréal Trust a, par voie de pétition, demandé l'édiction d'une loi spéciale à l'égard de certaines questions;

ATTENDU QUE sa demande a été reçue et qu'il en a résulté l'adoption d'une loi intitulée « The Montreal Trust Company Act, 1974 » sanctionnée le 10 juin 1974;

ATTENDU QUE le ministre de la Justice a fait rédiger la présente loi en français et en anglais en vue de sa réadoption en conformité avec un jugement et une ordonnance de la Cour Suprême du Canada datés respectivement du 13 juin 1985 et du 4 novembre 1985;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Definitions

1   In this Act,

"fiduciary" includes trustee, bailee, executor, administrator, assignee, litigation guardian, committee, quasi committee, curator, receiver, liquidator, agent, registrar, transfer agent, or any other office or position of trust or agency whatsoever; (« fiduciaire »)

"instrument" includes every will, codicil, or other testamentary document, writing, indenture, conveyance, settlement, trust deed, deed, mortgage, assignment, appointment, probate, letters of administration, Act of the Legislature, and a judgment, decree, order, direction, or appointment of any Court, Judge, or other constituted authority. (« instrument »)

Vesting

2   All trusts, trust estates and appointments of every kind and description granted to or held by Investors Trust Company and all powers, rights, immunities, and privileges conferred upon or enjoyed by it shall be and are hereby vested in Montreal Trust Company upon the same trusts and subject to the same obligations and duties and, without restricting the generality of the foregoing provisions of this section

(a) whenever in an instrument any estate, money or other property, or any interest, possibility or right is intended at the time or times of the publishing, making or signing of the instrument to be thereafter vested in or administered or managed by or put in the charge of Investors Trust Company as the fiduciary, the name of Montreal Trust Company shall be deemed to be substituted for the name of Investors Trust Company, and such instrument vests the subject matter therein described in Montreal Trust Company according to the tenor of, and at the time indicated or intended by the instrument, and Montreal Trust Company shall be deemed to stand in the place and stead of Investors Trust Company;

(b) where the name of Investors Trust Company appears as executor, trustee, guardian, committee, quasi committee or curator in a will or codicil, such will or codicil shall be read, construed and enforced as if Montreal Trust Company was so named therein, and it has, in respect of the will or codicil, the same status and rights as, and in the place and stead of, Investors Trust Company; and

(c) in all probates, administrations, guardianships, curatorships, committeeships, quasi committeeships or appointments of administrator or litigation guardian issued or made by any court in the province to Investors Trust Company from which on March 31, 1974 it had not been fully discharged, Montreal Trust Company shall be substituted therefor.

Rights of creditors unimpaired

3   All rights of creditors and liens upon the property of Investors Trust Company shall be unimpaired by the transfer to and acquisition by Montreal Trust Company of all the business, undertaking and assets of Investors Trust Company.

Assumption of duties and liabilities

4   All debts and liabilities of Investors Trust Company and all of its duties to be performed shall be the obligations of and attach to Montreal Trust Company and may be enforced against it to the same extent as if the same had been incurred or contracted by it.

Continuation of actions

5(1)   No suit, action, appeal, application or other proceeding being carried on within the province, or power, right, or remedy being exercised therein by Investors Trust Company shall be discontinued on account of this Act, but may be continued in the name of and by Montreal Trust Company, and Montreal Trust Company has the same powers, rights and remedies and is subject to the same liabilities, and shall pay or receive the like costs, as if the suit, action, appeal, application, or other proceeding had been commenced or defended by and in the name of Montreal Trust Company.

Preservation of rights of action

5(2)   Montreal Trust Company may bring, maintain and exercise in its name any suit, action, appeal, application or other proceeding or exercise any power, right or remedy that, but for this Act, Investors Trust Company was or could have been entitled to bring, maintain, or exercise within the province.

Act a valid grant

6(1)   This Act shall be and shall in all respects be treated, for the purposes of every land titles office, registry office, and other public office whatsoever in the province, and of any and all transactions therein and of the officers administering them, as a legal and valid grant, conveyance, transfer, and assignment to Montreal Trust Company of any and all lands, interests in lands, mortgages, charges, encumbrances, or other instruments whatsoever, and of any and all other property of every description, real, personal, or mixed now or hereafter standing in the name of or vested in Investors Trust Company whether as owner, trustee, liquidator or otherwise, and whether registered or filed under The Real Property Act, The Registry Act, The Corporations Act, or any other Act of the Legislature or under any other system or form of registration.

Registrations not required

6(2)   Any such Act of the Legislature notwithstanding, it shall not be necessary under any system or form of registration to register or file this Act or any further or other instrument or to issue any certificate or to make any entry in connection with the vesting in Montreal Trust Company of any of the said property, except in the case of any of the said lands or interests in lands under The Real Property Act, memorials of such vesting shall upon the filing of a request be endorsed on certificates of title and any of the said mortgages, charges, encumbrances or other instruments other than those to be dealt with by discharge only; nor shall it be necessary in any instrument whereby Montreal Trust Company deals with any of the said property to recite or set out the vesting of the same in Montreal Trust Company or in the case of any of the said lands under The Real Property Act to issue certificates of title in or to transmit any of the said mortgages, charges, encumbrances or other instruments to the name of Montreal Trust Company.

Agreement validated

7   The said agreement between Investors Trust Company and Montreal Trust Company, a copy of which is set out in Schedule "A" hereto, is hereby ratified and confirmed, and all the terms thereof are hereby legalized and declared to be valid and operative to the same extent and in the same manner as if the several clauses thereof were set out and enacted as part of this Act; and each of the parties to the said agreement is declared to have had power to make and execute the same; and subject to all statutory provisions relating thereto, Montreal Trust Company shall have power to carry on the combined business in the province.

SCHEDULE A

AGREEMENT made this 15th day of March, 1974;

BETWEEN:

INVESTORS TRUST COMPANY (hereinafter called "Investors"), a trust company duly incorporated under the laws of Canada and having its head office at the City of Winnipeg in the P0rovince of Manitoba,

OF THE FIRST PART;

AND:

MONTREAL TRUST COMPANY (hereinafter called "Montreal Trust"), a trust company duly incorporated under the laws of the Province of Quebec and having its head office at the City of Montreal in the said Province,

OF THE SECOND PART.

WHEREAS each of Investors and Montreal Trust is duly registered to carry on the business of a trust company within the Provinces of Quebec, Ontario, Manitoba, Saskatchewan and Alberta;

AND WHEREAS Montreal Trust is the beneficial owner of all the issued and outstanding shares of the capital stock of Investors, other than directors' qualifying shares which Montreal Trust has the right to acquire and intends to acquire;

AND WHEREAS Investors has ceased to offer or perform services to the public in the said Provinces, other than such services as are necessarily performed in its name in order to discharge its existing duties and obligations, and Montreal Trust has substantially taken over Investors' staff and business as a trust company within the said Provinces;

AND WHEREAS it is desirable that Investors transfer to Montreal Trust and Montreal Trust acquire from Investors all of its business, undertaking and assets and that Montreal Trust assume all of the rights, powers, duties, obligations and liabilities of Investors.

NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:

1   Investors hereby sells, grants, conveys, assigns, transfers, delivers and sets over unto Montreal Trust and Montreal Trust hereby purchases from Investors all the business, undertaking and assets of Investors, including but without limiting the generality of the foregoing:

(a) the entire goodwill of Investors including the right to hold out and represent Montreal Trust as carrying on the business of Investors in succession thereto;

(b) all real and personal, immovable and movable property and all rights in such property belonging to Investors;

(c) all the book and other debts due or to become due to Investors in connection with the said business and the full benefit of all securities for such debts;

(d) the full benefit of all contracts and engagements to which Investors is or may be entitled in connection with the said business;

(e) all fees and compensation due to, or accruing due to, or earned by Investors in connection with any services rendered by Investors, whether or not such fees and compensation have been fixed by agreement, by order of a competent court or otherwise;

(f) all cash in hand and in banks and other depositories and all bills, notes, bonds, debentures, stocks, securities, obligations, moneys, instruments and credits belonging to Investors; and

(g) all chattels, furniture, books of account, franchises, effects, records and files of Investors.

2   Investors hereby assigns and transfers unto Montreal Trust and Montreal Trust hereby accepts from Investors and assumes all trusts, trust estates and appointments of every kind and description granted to or assumed or held by Investors, including incomplete or inchoate trusts, and all moneys received or deemed to have been received by Investors in trust and all of the rights and powers of Investors with respect thereto.

3   In consideration of the sale, conveyance, assignment, transfer, delivery and setting over unto Montreal Trust of such business, undertaking and assets and the assignment and transfer to Montreal Trust of such trusts, trust estates, appointments and moneys, Montreal Trust:

(a) hereby assumes all debts, duties, obligations and liabilities of Investors whatsoever, all trusts, trust estates and appointments of every kind and description binding upon Investors and all duties and responsibilities of Investors with respect to such trusts, trust estates, appointments and moneys;

(b) agrees to pay, satisfy, discharge, perform and fulfill all such debts, duties, obligations and liabilities and the duties and responsibilities of Investors with respect to all such trusts, trust estates, appointments and moneys;

(c) shall indemnify and keep indemnified Investors from and against all such debts, duties, obligations and liabilities and against all actions, proceedings, costs, damages, claims, demands and other proceedings in respect thereof and in respect of such trusts, trust estates, appointments and moneys; and

(d) agrees to pay to Investors an amount in cash equal to the book value of the assets of Investors less the face value of the liabilities of Investors as of the effective date referred to hereinafter.

4   This sale and purchase and assignment and transfer shall take effect as of the end of the day of March 31, 1974 or of such later date or dates as shall be agreed to in writing by the parties hereto and as of that date (herein referred to as the "effective date"), subject as hereinafter provided, the business, undertaking and assets of Investors shall be vested in Montreal Trust and all debts, duties, obligations and liabilities of Investors and all trusts, trust estates and appointments binding upon Investors shall be vested in and bind Montreal Trust. Notwithstanding the foregoing, the business, undertaking and assets of Investors within the Province of Ontario shall be vested in Montreal Trust on the date when this Agreement is approved by the assent of the Lieutenant Governor in Council of the Province of Ontario and on that date all debts, duties, obligations and liabilities of Investors within that Province and all trusts, trust estates and appointments binding upon Investors within that Province shall be vested in and bind Montreal Trust.

5   From and after the effective date and pending the approval of any governmental or constituted authority of Canada or a province of Canada that may be required, Investors shall be deemed to be carrying on business for the account of Montreal Trust and shall account to Montreal Trust and be indemnified accordingly, provided that if any such approval is not given by the thirty-first day of December, 1974, then this Agreement shall be void and without effect as to the business, undertaking and assets and the debts, duties, obligations, liabilities, trust, trust estates and appointments of Investors within Canada or, as the case may be, within the province or provinces where such approval is required but is not given.

6  All rights of action and things in action possessed by Investors may be exercised or enforced, and any proceedings which may have been commenced by Investors in connection therewith prior to the date when the same become vested in Montreal Trust may be continued in the name of Investors for the benefit of Montreal Trust or in the name of Montreal Trust. Nevertheless, nothing in this Agreement shall derogate from or extinguish any right of action or thing in action now vested in Investors in connection with the business of Investors which is not capable of assignment or transfer, and any such rights or thing in action shall remain vested in and enforceable by Investors and Investors shall take such proceedings as Montreal Trust may require to enforce, exercise or realize upon such rights of action or things in action in Investors' name but for the benefit of Montreal Trust.

7   Investors covenants and agrees to execute and deliver to Montreal Trust forthwith and from time to time hereafter all such deeds, transfers, bills of sale, conveyances, assignments and other documents in writing and do all such things as may be necessary or expedient to supplement and confirm the vesting in Montreal Trust of the business and undertaking and the title to all assets and property of Investors wheresoever situate and, if required by Montreal Trust, shall join with Montreal Trust in any application to governmental or constituted authority by way of supplement or in lieu of such conveyances, assignments, transfers and other documents required for the said purpose.

8   The parties hereto covenant and agree that their respective duly authorized officers may enter into and execute such agreements as may be necessary or convenient to extent the effective date of this sale and purchase and assignment and transfer and to make such amendments and modifications to this Agreement as to such officers seem necessary or desirable, the execution of any such agreement by such officers to be conclusive evidence of their authority so to do, provided however that no amendment or modification to this Agreement shall be such as to provide that less than all of the business, undertaking and assets of Investors within a province of Canada and less than all of the debts, duties, obligations, liabilities, trusts, trust estates and appointments of Investors within that province shall become vested in Montreal Trust.

9   This Agreement may be executed in two or more counterparts all of which together shall constitute one and the same document.

IN WITNESS WHEREOF the parties hereto have executed this Agreement and their corporate seals have been hereunto affixed by the hands of their proper officers in that behalf.

ENTRE :

La INVESTORS TRUST COMPANY (ci-après appelée « Investors »), compagnie de fiducie dûment constituée en vertu des lois du Canada et ayant son siège social dans la Ville de Winnipeg, au Manitoba,

D'UNE PART,

ET :

LA COMPAGNIE MONTRÉAL TRUST (ci-après appelée « Montréal Trust »), compagnie de fiducie dûment constituée en vertu des lois de la province de Québec et ayant son siège social dans la Ville de Montréal dans cette province,

D'AUTRE PART.

ATTENDU QUE Investors et Montréal Trust sont, toutes deux, dûment enregistrées afin d'exercer les activités d'une compagnie de fiducie dans les provinces de Québec, d'Ontario, du Manitoba, de la Saskatchewan et d'Alberta;

ATTENDU QUE Montréal Trust est la propriétaire bénéficiaire de toutes les actions émises et en circulation du capital-actions d'Investors, sauf les actions d'éligibilité des administrateurs que Montréal Trust a le droit et l'intention d'acquérir;

ATTENDU QU'Investors a cessé d'offrir et de fournir ses services au public dans les provinces nommées plus haut, sauf les services qui doivent être nécessairement fournis en son nom afin qu'elle exécute ses obligations actuelles et que Montréal Trust a pris en charge la plus grande partie du personnel et de l'entreprise d'Investors dans les provinces nommées plus haut;

ATTENDU QU'il est souhaitable qu'Investors transfère à Montréal Trust et que Montréal Trust acquière d'Investors la totalité de son entreprise et de ses éléments d'actif et que Montréal Trust prenne en charge les droits, les pouvoirs, les responsabilités et les obligations d'Investors.

À CES CAUSES, LES PARTIES AUX PRÉSENTES CONVIENNENT DE CE QUI SUIT :

1   Aux termes des présentes, Investors vend, cède, transfert et remet à Montréal Trust et Montréal Trust achète à Investors l'entreprise et les éléments d'actif d'Investors, y compris :

a) tout l'achalandage d'Investors y compris le droit de présenter Montréal Trust comme poursuivant l'entreprise d'Investors en succession de celle-ci;

b) tous les biens réels et personnels, mobiliers et immobiliers appartenant à Investors et tous les droits sur ces biens;

c) toutes les créances d'Investors échues ou à échoir, notamment tous les comptes clients, ainsi que le bénéfice intégral des garanties y afférentes;

d) le bénéfice intégral de tous les contrats et de tous les engagements auquels Investors a ou pourrait avoir droit relativement à ses entreprises;

e) tous les honoraires et toutes les rétributions dus ou qui deviennent dus à Investors ou gagnés par elle relativement aux services fournis par Investors, que ces honoraires et rétributions aient été fixés par entente ou en vertu d'une ordonnance d'un tribunal compétent ou autrement;

f) l'argent comptant et les dépôts en banque ou autres dépôts ainsi que les traites, les billets, les obligations, les débentures, les actions, les valeurs mobilières, les fonds, les effets et les crédits appartenant à Investors;

g) tous les biens mobiliers, les livres comptables, les concessions, les effets, les documents et les dossiers d'Investors.

2   Aux termes des présentes, Investors cède et transfère à Montréal Trust et Montréal Trust accepte d'Investors et assume toutes les fiducies, les patrimoines de fiducie et les nominations de tout genre cédés à Investors ou assumés ou détenus par elle, y compris les fiducies incomplètes ou imparfaites et tous les fonds reçus ou réputés avoir été reçus par Investors en fiducie et tous les droits et les pouvoirs d'Investors à leur égard.

3   En contrepartie de la vente, du transfert, de la cession et de la remise à Montréal Trust de l'entreprise et des éléments d'actif et de la cession et du transfert à Montréal Trust de ces fiducies, patrimoines de fiducie, nominations et fonds, Montréal Trust :

a) prend en charge, par les présentes, toutes les dettes, les responsabilités et les obligations d'Investors ainsi que les fiducies, les patrimoines de fiducie et les nominations liant Investors et toutes les responsabilités et les obligations d'Investors à l'égard de ces fiducies, patrimoines de fiducies, nominations et fonds;

b) convient de payer les dettes, de s'acquitter des responsabilités et d'exécuter les obligations d'Investors à l'égard de ces fiducies, patrimoines de fiducies, nominations et fonds;

c) indemnise et tient à couvert Investors pour toutes les dettes, les responsabilités et les obligations et pour toutes les actions, les instances, tous les dépens, les dommages-intérêts, toutes les réclamations, les demandes et les autres procédures à leur égard et à l'égard des fiducies, des patrimoines de fiducie, des nominations et des fonds;

d) convient de payer comptant à Investors un montant égal à la valeur comptable des éléments d'actif d'Investors moins la valeur nominale des dettes d'Investors à la date de prise d'effet mentionnée plus bas.

4   La présente vente, le présent achat, la présente cession et le présent transfert prennent effet à la fin du 31 mars 1974 ou aux dates ultérieures dont les parties aux présentes conviennent par écrit et, dès cette date (ci-après appelée « la date de prise d'effet »), sous réserve des dispositions suivantes l'entreprise et les éléments d'actif d'Investors sont dévolus à Montréal Trust et toutes les dettes, les responsabilités et les obligations d'Investors de même que toutes les fiducies, les patrimoines de fiducie et les nominations liant Investors sont dévolus à Montréal Trust et la lient. Malgré ce qui précède, les entreprises, 1les affaires et les éléments d'actif d'Investors dans la province d'Ontario sont dévolus à Montréal Trust à la date où la présente entente est sanctionnée par le lieutenant-gouverneur en conseil de la province d'Ontario et à cette date, toutes les dettes, les responsabilités et les obligations d'Investors dans cette province de même que toutes les fiducies, les patrimoines de fiducies et les nominations liant Investors dans cette province sont dévolus à Montréal Trust et la lient.

5   Dès la date de prise d'effet et jusqu'à ce que soit obtenue l'approbation d'une autorité gouvernementale ou constituée du Canada ou d'une province canadienne qui peut être nécessaire, Investors est réputée poursuivre ses activités pour le compte de Montréal Trust, rend des comptes à Montréal Trust et est indemnisée en conséquence; toutefois, dans l'éventualité ou une approbation ne serait pas donnée au plus tard le 31 décembre 1974, alors la présente entente serait nulle et sans effet relativement à l'entreprise et aux éléments d'actif ainsi qu'aux dettes, aux responsabilités, aux obligations et aux fiducies, aux patrimoines de fiducies et aux nominations d'Investors au Canada ou, selon le cas, dans la ou les provinces dans lesquelles l'approbation doit être obtenue mais n'est pas donnée.

6  Tous les droits d'action, privilèges et autres droits qu'Investors possède peuvent être exercés ou exécutés, et toutes les poursuites y afférentes intentées par Investors antérieurement à la date de leur dévolution à Montréal Trust peuvent être continuées au nom d'Investors pour le bénéfice de Montréal Trust ou au nom de Montréal Trust. Toutefois, la présente entente n'a pas pour effet de déroger aux droits d'action, privilèges et autres droits dévolus à Investors relativement aux affaires d'Investors qui ne peuvent être cédés ou transférés, ni de les éteindre, et ces droits d'action, privilèges et autres droits demeurent dévolus à Investors qui peut les exécuter et Investors s'engage à intenter les poursuites que Montréal Trust exige pour exercer ou exécuter ces droits d'action, privilèges et autres droits au nom d'Investors mais pour le bénéfice de Montréal Trust.

7   Investors s'engage et consent à passer et à remettre à Montréal Trust immédiatement les actes scellés, les transferts, les actes de vente, les cessions et les autres documents et à accomplir tous les actes nécessaires ou indiqués pour compléter et ratifier la dévolution à Montréal Trust de l'entreprise d'Investors et du titre relatif à tous ses éléments d'actif et tous ses biens où qu'ils soient situés et, si Montréal Trust le requiert, s'engage à se joindre à Montréal Trust pour adresser toute demande à l'autorité gouvernementale ou constituée par voie de supplément ou en remplacement des transferts, des cessions et des autres documents requis à cette fin.

8   Les parties aux présentes consentent à ce que leurs dirigeants dûment autorisés respectifs concluent et passent les ententes nécessaires ou utiles pour reporter la date de prise d'effet de la présente vente, du présent achat, de la présente cession et du présent transfert et pour apporter les modifications à la présente entente qui semblent nécessaires ou souhaitables aux dirigeants, et ils conviennent que la passation de ces ententes par les dirigeants constitue une preuve concluante de leur pouvoir de le faire; toutefois, aucune modification à la présente entente ne peut prévoir que moins que la totalité de l'entreprise et des éléments d'actif d'Investors dans une province du Canada et que moins que la totalité des dettes, des responsabilités, des obligations, des fiducies, des patrimoines de fiducie et des nominations d'Investors dans cette province sont dévolus à Montréal Trust.

9   La présente entente peut être passée en deux exemplaires ou plus qui constituent tous ensemble un seul et même document.
