WHEREAS a number of persons have been for some time members of an association at the Parish of Kildonan in Manitoba, under the name of The Lord Selkirk Association of Rupert's Land;

AND WHEREAS the persons hereinafter named, by their petition, prayed on behalf of the members that the said association should be incorporated: His Grace Archbishop Samuel P. Matheson, the Honourable Colin Inkster, John Henderson, Rev. Alexander Matheson, Rev. H.G. Gunn, B. McKenzie Gunn, R. Ross Sutherland, A.J. Bannerman, S.R. Henderson, Alexander Polson, James Black, George T. Sutherland and J.J. Scott;

AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to incorporate "The Lord Selkirk Association of Rupert's Land", assented to March 16, 1910;

AND WHEREAS the first officers and the first executive of the said association were the following: Patron, the Right Hon. Lord Strathcona and Mount Royal, G.C.M.G.; hon. president, Captain John Hope, R.N.; president, His Grace Archbishop Matheson, D.D., D.C.L.; first vice-president, Hon. Colin Inkster; second vice-president, Mr. John Henderson; chaplain, Rev. Alexander Matheson; recording secretary, Rev. H. G. Gunn, B.A.; secretary-treasurer, Mr. B. McKenzie Gunn; executive, Mr. R. Ross Sutherland, M.A.; Mr. A.J. Bannerman, Mr. James Black, Mr. S.R. Henderson, Mr. Geo. T. Sutherland, Mr. A. Polson, Mr. J. J. Scott;

AND WHEREAS the Minister of Justice has caused the Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;

ATTENDU QUE, depuis un certain temps, des personnes de la paroisse de Kildonan, au Manitoba, sont membres de l'association dénommée « The Lord Selkirk Association of Rupert's Land »;

ATTENDU QUE monseigneur Samuel P. Matheson, l'honorable Colin Inkster, John Henderson, le révérend Alexander Matheson, le révérend H.G. Gunn, B. McKenzie Gunn, R. Ross Sutherland, A.J. Bannerman, S.R. Henderson, Alexander Polson, James Black, George T. Sutherland et J.J. Scott ont, au nom des membres, demandé la constitution en corporation de l'association;

ATTENDU QUE leur demande a été reçue et qu'il en a résulté l'adoption de la loi intitulée « An Act to incorporate "The Lord Selkirk Association of Rupert's Land" » sanctionnée le 16 mars 1910;

ATTENDU QUE le ministre de la Justice a fait rédiger la présente loi en français et en anglais en vue de sa réadoption en conformité avec un jugement et une ordonnance de la Cour suprême du Canada datés respectivement du 13 juin 1985 et du 4 novembre 1985;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Continuation

1   The Lord Selkirk Association of Rupert's Land (hereinafter referred to as the "association") is continued as a corporation consisting of those persons who are members of the association on the coming into force of this Act and such other persons as may be hereafter from time to time admitted to membership.

Prorogation

1   L'organisme dénommé « The Lord Selkirk Association of Rupert's Land » (ci-après appelé l'« Association ») est prorogé à titre de corporation composée des personnes qui en sont membres.

Powers of corporation

2   The association has all the powers necessary to do such things as are incidental or conducive to the attainment of its aims and objects, including, without limiting the generality of the foregoing, the power to make and receive all deeds, conveyances, transfers, bequests, assignments and contracts necessary to carry out the provisions of this Act, and any by-laws of the association, and to promote and carry out the aims, projects and designs of the association, and the association shall, subject to the provisions of this Act, be capable in law, by its corporate name, to take, purchase and hold, sell, mortgage and dispose of all and any goods and chattels, lands, tenements and hereditaments, and any interest therein which may from time to time be necessary, convenient or desirable for the purposes of the association, but the association shall not engage in trade or deal in lands or any interest therein, but may apply any moneys derived from fees, voluntary contributions, donations or bequests from members or others towards the maintenance and the carrying out of the aims and objects of the association in such manner as the association shall from time to time by resolution or by-law direct; provided always that it shall be lawful for the association to invest any part of the funds of the association in the bonds or debentures of any municipal corporation or in any securities of the Government of Canada or Province of Manitoba, or in any real estate in the Province of Manitoba by way of first mortgage thereon.

De plus, sous réserve des autres dispositions de la présente loi, elle a la capacité juridique, sous sa dénomination sociale, de prendre, d'acheter, de détenir, de vendre, de grever d'une hypothèque et d'aliéner les objets et les chatels, les biens-fonds, les tènements et les héritages, et les intérêts y afférents, nécessaires, utiles ou souhaitables pour la réalisation de ses fins. Toutefois, elle n'exerce pas d'activité commerciale et n'effectue pas de transaction relativement à des biens-fonds ou à des intérêts afférents à ces biens-fonds; elle peut affecter les fonds provenant des droits, des cotisations facultatives, des dons ou des legs de membres ou de toute autre personne à la poursuite et à la réalisation de ses buts et de ses objets, de la manière qu'elle détermine par résolution ou par règlement administratif; l'Association peut placer toute partie de ses fonds dans les obligations ou dans les débentures de toute corporation municipale, dans les valeurs mobilières du gouvernement du Canada ou de la province du Manitoba ou dans tout bien réel de la province du Manitoba garanti par hypothèque de premier rang.

Constitution, rules and regulations

3   The constitution, rules and regulations touching the admission and expulsion of members and the management and conduct generally of the officers and concerns of the association in force at the passing of this Act, shall be the constitution and by-laws of the association till such time as the association in general meeting assembled, or at a special meeting for that purpose called, shall alter, repeal or enact a new constitution and by-laws; and after such repeal, alteration or enactment the executive committee may from time to time repeal, amend or re-enact the constitution and by-laws, but every such by-law and every repeal, amendment or re-enactment shall only have force until the next annual meeting of the said association, and in default of confirmation thereof shall at and from that time only cease to have force.

3   Les statuts, les règles et les règlements en vigueur au moment de l'adoption de la présente loi, régissant l'admission et l'expulsion des membres ainsi que la gestion des intérêts et la conduite des dirigeants de l'Association, représentent ses statuts et ses règlements administratifs jusqu'à ce qu'elle les modifie ou les abroge ou jusqu'à ce qu'elle adopte de nouveaux statuts et de nouveaux règlements administratifs à une assemblée générale ou à une assemblée extraordinaire convoquée à cette fin; le comité de direction peut abroger, modifier ou réadopter ces règlements administratifs et ces statuts; toutefois, ces règlements administratifs, ainsi que chaque abrogation, modification et réadoption, demeurent en vigueur uniquement jusqu'à l'assemblée annuelle suivante de l'Association et, à défaut de ratification à cette assemblée, ils cessent d'être en vigueur.

Officers

4   The officers of the association shall consist of the patron, honorary president, president, first and second vice-presidents, chaplain, recording secretary, secretary-treasurer, and an executive of as least seven and not more than 11 other members, the number of which shall be regulated by by-law, and they shall manage the affairs, business and concerns of the association as provided for by the by-laws. All vacancies that may occur among the officers or members of the executive by reason of death or otherwise, in the interval between two annual meetings, may be filled by the executive.

4   Les dirigeants de l'Association sont le patron, le président honoraire, le président, le premier et le deuxième vice-présidents, l'aumônier, le secrétaire, le secrétaire-trésorier et le comité de direction composé d'au moins 7 et d'au plus 11 membres, selon le nombre prévu par règlement administratif. Les dirigeants administrent les affaires, les activités et les intérêts de l'Association, selon ce que prévoient les règlements administratifs. Le comité de direction peut, entre deux assemblées annuelles, combler toute vacance qui survient parmi les dirigeants ou en son sein, en raison notamment d'un décès.

Liability for debts

5   No member shall be liable for any debt of the association beyond the amount of his unpaid fees or subscription, and every member of the association not so indebted to the said association will be allowed to withdraw, and will cease to be a member on giving notice to that effect, according to the form that may be prescribed by the constitution, rules and by-laws of the association, and from thenceforth shall cease to be a member of the association and free from all debts or demands due by the association.

5   Un membre n'est pas tenu responsable des dettes de l'Association au-delà de ses cotisations ou de ses droits d'admission impayés. Un membre qui n'est pas ainsi endetté envers l'Association peut s'en retirer et cesser d'en être membre sur remise d'un avis à cet effet, revêtant la forme prescrite par les statuts, les règles et les règlements administratifs de l'Association. Il cesse alors d'être membre de l'Association et est libéré de toutes les dettes et de toutes les obligations de celle-ci.

Members withdrawing

6   If any member during his lifetime ceases to be a member of the association, he shall not, nor shall his representative if any, have any interest in or claim against the funds or property of the association.

6   Tout membre qui, de son vivant, cesse d'être membre de l'Association, ainsi que son représentant, perd tout intérêt sur les fonds ou sur les biens de l'Association, et toute réclamation à leur égard.

Expulsion of members

7   The association may expel any member for misconduct, or for any violation of the by-laws or rules of the association.

Annual general meeting

8   An annual general meeting of the association shall be held on the last Thursday of November in each year, at the time and place and subject to such regulations as may be provided by the by-laws of the association for the election of officers and the executive committee and for the transaction of such business as may be brought before such meeting; and, in case such meeting for any cause be not then held, then a subsequent meeting for such purpose may be held under a by-law of the association. In default of such election at the time and in the manner provided, the retiring officers and executive shall continue to act until their successors shall be duly elected.

Assemblée annuelle

8   L'assemblée générale annuelle de l'Association est tenue le dernier jeudi de novembre, aux heure et lieu et sous réserve des règlements prévus par les règlements administratifs de l'Association, aux fins de l'élection des dirigeants et des mesures du comité de direction et de la conduite des affaires dont l'assemblée est saisie. Si, pour toute raison, l'assemblée ne peut être tenue à cette date, une assemblée ultérieure peut être tenue aux mêmes fins en vertu d'un règlement administratif de l'Association. À défaut d'une telle élection au moment et de la manière prévus, les dirigeants et les membres du comité de direction sortants demeurent en fonction jusqu'à l'élection en règle de leur successeur.

Acqusition of site for building

9   The association shall have power to raise money to purchase or acquire any land or real estate on which to erect a building for the use of the association, or for the erection of a building upon any land or real estate donated or given to the association, by the issue of shares of the value of $10. each, and may make the said shares payable by instalments. A registrar of all shares subscribed for shall be kept by the secretary-treasurer, and no share shall be transferable until fully paid up, and then only with the consent of the executive of the association. No person holding any of the said shares shall have a right to vote at any meeting of the association unless he be a duly elected member of the association in good standing. The association may invest any part of its funds in debentures, municipal, federal or Provincial, or on first mortgages on real estate in the Province of Manitoba. The officers of the association, if authorized by resolution passed at a general meeting of the association, which may be an annual general meeting, or a general meeting called specially for the purpose, may sell, transfer or convey and may mortgage all or any part of the property of the association, real or personal, for the purpose aforesaid, and shall, under the authority of a by-law approved at such a general meeting, have full power to lease any part of any building or premises erected by them and not required for the immediate use of the association.

Les dirigeants de l'Association peuvent, si une résolution adoptée à une assemblée générale de l'Association, notamment, ou à une assemblée générale convoquée spécialement à cette fin, les y autorise, peuvent vendre ou céder et grever d'une hypothèque tout ou partie des biens réels ou personnels de l'Association aux fins mentionnées plus haut. Si un règlement administratif adopté à une telle assemblée générale les y autorise, ils donnent à bail toute partie des bâtiments ou des locaux érigés par eux qui n'est pas immédiatement requise aux fins de l'Association.

Amount of real estate that may be held

10   The said association is authorized to acquire and hold real estate not exceeding $10,000. in annual rental value.

10   L'Association est autorisée à acquérir et à détenir des biens réels dont la valeur locative annuelle ne dépasse pas 10 000 $.
