WHEREAS The Hon. E.B. Wood, William Cowan, M. D., Alexander McArthur, Rev. Professor George Bryce, Alexander Begg, S.R. Parsons, Rev. Canon John Grisdale, Donald Codd, A.H. Whitcher, James H. Rowan, E.W. Jarvis, John F. Bain, James Stewart, the Hon. John Norquay and the Hon. Joseph Royal formed themselves into a society and by their petition, prayed that The Historical and Scientific Society of Manitoba should be incorporated;
AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to incorporate the Historical and Scientific Society of Manitoba, assented to June 25, 1879;
AND WHEREAS that Act was not included in the roll to the Re-enacted Statutes of Manitoba (Private Acts) Act, 1990, and was repealed by The Private Acts Repeal Act, assented to November 14, 1990;
AND WHEREAS, notwithstanding its legal dissolution by virtue of that repeal, the activities of The Historical and Scientific Society of Manitoba have continued and are continuing under its commonly known name, the Manitoba Historical Society;
AND WHEREAS Douglas Taylor, William J. Fraser, and Lily B. Stearns, on behalf of the Manitoba Historical Society, have by their petition prayed that it be enacted as hereinafter set forth and it is expedient to grant the prayer of the petition;
ATTENDU QUE l'honorable E. B. Wood, William Cowan, M.D., Alexander McArthur, le révérend George Bryce, professeur, Alexander Begg, S. R. Parsons, le révérend chanoine John Grisdale, Donald Codd, A. NOW THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Incorporation
1 There is hereby established a corporation under the name the "Manitoba Historical Society", hereinafter referred to as "the Society".

Members
2(1) The Society consists of those persons who are members of the existing society on the coming into force of this Act and of those persons who may be admitted, from time to time, as members of the Society.

Interpretation
2(2) In this Act, "existing society" means the association carrying on its activities under the name the "Manitoba Historical Society" on the day before the day on which this Act comes into force.

Objects
3 The objects of the Society are
(a) to foster the preservation of property relevant to an appreciation of the history of Manitoba;
(b) to encourage research and publications relating to the history of Manitoba;
(c) to promote and encourage public interest in Manitoba and Canadian history.

4 The Society shall be operated and maintained exclusively for charitable, educational and scientific purposes without private gain.

Powers
5 The Society may do all such acts and things as are incidental or conducive to, or consequential upon, the attainment of its objects and, without limiting the generality of the foregoing, has the capacity, the rights, powers and privileges conferred by, and is subject to all of the limitations and liabilities set out in, The Corporations Act that are applicable.

Constitution, by-laws, rules and regulations
6 The Society has the power to make a constitution, by-laws, rules and regulations, not being contrary to law or the provisions of this Act, and may amend, repeal, substitute or add to them, from time to time, as the Society considers necessary.

Present by-laws
7 On the coming into force of this Act, the by-laws of the existing society not being contrary to law shall be the by-laws of the Society hereby constituted, until they are repealed or altered.

Management
8 The affairs of the Society shall be managed by the governing council acting through the Society's executive and officers, who shall be elected or appointed according to the constitution of the Society.

Present officers
9 Until others are elected according to the by-laws of the Society, the officers of the existing society shall be those of the Society.

Saving provision
10 The Society has all the rights and privileges and is liable for the obligations that it would have had if this Act had been in force since November 14, 1990, and all decisions made or actions taken by the existing society or by its officers or employees on its behalf, in the period from November 14, 1990 to the day this Act is enacted, are valid and enforceable as if this Act had been in force during that period.

10 La Société a les droits, privilèges et obligations qu'elle aurait eus si la présente loi avait été en vigueur depuis le 14 novembre 1990. Les décisions prises ou les actes accomplis par la société existante ou par ses dirigeants ou employés en son nom entre cette date et l'adoption de la présente loi sont valides et applicables, tout comme si celle-ci avait été en vigueur pendant cette période.
Coming into force
11 This Act comes into force on the day it receives royal assent.
