An Act to amend The Corporations Act

(Assented to September 10, 1986)

HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

Subsec. 11(4) am.

Subsection 11(4) of the Corporations Act, chapter C225 of the Continuing Consolidation of the Statutes of Manitoba is amended by striking out the number and word "5 years" where it appears in clauses (a) and (b) thereof and substituting therefor in each case the number and word "3 years".

Sec. 121 rep. and sub.

Section 121 of the Act is repealed and the following section is substituted therefor:

Annual return.

121(1)

Every body corporate required to register under this Act shall, on or before the prescribed date, send to the Director an annual return in prescribed form and the Director shall file it.

Who shall sign.

121(2)

A director, officer, or agent of the body corporate shall sign the return under subsection (1) and certify it to be correct.

Subsection 181(1.1) of the Act is amended by adding immediately after "subsection (1)" the words and symbols "or (1.2)".

Subsec. 181(1.2) added.

Section 181 of the Act is amended by adding immediately after subsection (1.1) the following subsection:

Special Act corporation.

181(1.2)

A corporation incorporated by a special Act may, with the approval of the Director, apply for a certificate of continuance under this Act unless the special Act provides that The Corporations Act does not apply to the corporation.

Clause 205(2)(a) of the Act is amended by striking out the number and word "90 days".

Section 205 of the Act is amended by adding immediately after subsection (2.1) the following subsection:

Length of notice.

205(2.2)

The notice referred to in clause (2)(a) shall be dated and sent at least 90 days prior to the date of dissolution.

Subsection 205(3) of the Act is amended by striking out the words "and the Director shall issue a certificate of dissolution in prescribed form. "

Subsec. 260(3) rep. and sub.

Subsection 260(3) of the Act is repealed and the following subsection is substituted therefor:

No requirement to produce original.

The Director is not required to produce any document where a copy of the document is furnished in compliance with clause (2)(a).

Subsec. 317(3) am.

Subsection 317(3) of the Act is amended by striking out the word "to" in the 3rd line thereof.

Commencement.

10(1)

This Act, except section 2, comes into force on the day it receives the royal assent.

Commencement.

10(2)

Section 2 comes into force on a day fixed by proclamation.
