The Manitoba Conference Corporation of the Seventh-Day Adventist Church Act
WHEREAS there has existed for many years in the Province of Manitoba a corporation known and described as The Manitoba Conference of the Seventh Day Adventists having as its object the advancement and promotion of the cause of Christian religion in conformity with the doctrines, rules and discipline of the Seventh Day Adventist Church, and to aid in any benevolent, charitable and philanthropic enterprise by means of hygienic, educational, missionary or other agencies, instrumentalities and methods available for and tending to the advancement of such ends and aims, and which was incorporated by An Act to incorporate "The Manitoba Conference of the Seventh Day Adventists", being chapter 67 of the Statutes of Manitoba, 1905;
AND WHEREAS a petition was presented praying for the amendment and consolidation of the said Act, and a change in the name of the said "The Manitoba Conference of the Seventh Day Adventists" to "Manitoba Conference Corporation of the Seventh-day Adventist Church" and to enlarge and clarify the aims and objects thereof;
AND WHEREAS Anthony William Kaytor, President of The Manitoba Conference of the Seventh Day Adventists, of the City of Saskatoon, in the Province of Saskatchewan; Ernest Francis White, Secretary-Treasurer of the said The Manitoba Conference of the Seventh Day Adventists, of the City of Saskatoon, in the Province of Saskatchewan; Dr. M. C. Rudisaile, of the Town of Selkirk, in the Province of Manitoba, Orthodontist; Rudolph Skoretz, of The City of Winnipeg, in the Province of Manitoba, Clergyman; and Willie Kuppers, of The City of Winnipeg, in the Province of Manitoba, Hospital Orderly; all members of the said The Manitoba Conference of the Seventh Day Adventists, by their petition, prayed that it was desirable in the interest of uniformity throughout Canada and to more effectually carry out their objectives to change the name of The Manitoba Conference of the Seventh Day Adventists to "Manitoba Conference Corporation of the Seventh-day Adventist Church" and to enlarge and clarify the objects thereof;
AND WHEREAS their prayer was granted, and resulted in the enactment of An Act to incorporate Manitoba Conference Corporation of the Seventh-day Adventist Church, assented to April 27, 1966;
AND WHEREAS the Minister of Justice has caused this Act to be prepared in English and French for re-enactment in accordance with a judgment dated June 13, 1985 and an order dated November 4, 1985 of the Supreme Court of Canada;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:
The Manitoba Conference Corporation of the Seventh-day Adventist Church (hereinafter referred to as "the corporation") is continued as a corporation.
The corporation shall be for the particular business and objects of promoting and advancing the cause of Christian religion in conformity with the doctrines, rules and discipline of the Seventh-day Adventist Church; and of aiding in any benevolent, charitable, philanthropic and religious enterprises by means of churches, organizations, publishing houses, medical or health institutions, nursing homes, homes for the aged, hospitals, educational institutions, publications, missionary or other agencies, instrumentalities and methods available for the tending to such ends and aims.
The powers of the corporation include authority
(a) to promote, maintain, superintend and carry on, by all such means as the directors deem fit, religious and charitable work, and to unify and extend the interest of the gospel and the cause of Christian religion in conformity with the doctrine, rules and discipline of the Seventh-day Adventist Church;
(b) to organize, erect, maintain and operate Christian missions, missionary schools and colleges, churches, schools, colleges, nursing homes, homes for the aged, hospital, sanitariums, dispensaries, orphanages, camps and cemeteries;
(c) to establish, erect, maintain and operate offices, libraries, houses and agencies for printing, publishing, and disseminating literature, newspapers, periodicals and works of religion, education, arts and science;
(d) to promote the spiritual welfare of all the congregations and members of the Seventh-day Adventist Church;
(e) to promote the erection and purchase of houses of worship and parsonages;
(f) to solicit and accept gifts, devises and bequests of real and personal property for the benefit of the corporation and useful and convenient for the carrying out of the aims, objects and purposes of the corporation, and to sell, alienate, transfer, mortgage, lease, exchange or otherwise dispose of any of the said property, or any part thereof, and with the proceeds thereof acquire other lands, tenements, hereditaments, or other property, real or personal, or invest the same, or any other funds that it may have in any security authorized under The Trustee Act;
(g) to purchase, acquire and hold all property and land useful and convenient for the carrying out of the aims, objects and purposes of the corporation, and to sell, alienate, transfer, mortgage, lease, exchange or otherwise dispose of any of the said property, or any part thereof, and with the proceeds thereof acquire other lands, tenements, hereditaments, or other property, real or personal, or invest the same, or any other funds that it may have in any security authorized under The Trustee Act;
(h) to administer the property, business and temporal affairs of the corporation.
The corporation may, for any of the purposes aforesaid, borrow money on mortgages, on the security of any real or personal property held by it, and may draw, make, accept, endorse, execute and issue promissory notes, bills of exchange and other negotiable instruments.
The corporation may from time to time make by-laws not contrary to law, for
(a) the administration, management and control of the property, business and temporal affairs of the corporation;
(b) the appointment, functions, duties and remuneration of all officers, agents and servants of the corporation;
(c) the appointment or deposition of executive committees or boards from time to time created for the purposes of the corporation and defining the powers and duties of such committees or boards;
(d) the calling of regular or special meetings of the corporation, or of the executive committee of the board of directors;
(e) fixing the necessary quorum and procedure to be followed at all meetings referred to in clause (d);
(f) determining the qualifications of members;
(g) defining and applying the principles, doctrines and religious standards of the corporation;
(h) filling vacancies on the board of trustees;
(i) subject to subsection 6(1), increasing or decreasing the number of members on the board of trustees;
(j) generally carrying out the objects and purposes of the corporation.
The board of trustees of the corporation shall consist of
(a) the president;
(b) the secretary; and
(c) not less than three other persons elected from the members of the corporation as may be provided by the by-laws of the corporation.
A majority of the board of trustees constitutes a quorum for the transaction of business by the board.
The members of the board of trustees shall, so long as they continue to be members thereof, be the directors of the corporation.
The executive committee of the Manitoba-Saskatchewan Conference of the Seventh-day Adventist Church Incorporated shall be the members of the corporation.

The corporation may do all such lawful acts and things as are ancillary or as may be conducive to the attainment of its objects.
The corporation may exercise all of its powers by and through an executive committee or through such boards or committees as may from time to time be elected or appointed by the corporation for the management of its affairs.
All property, real or personal, owned, used, held, possessed, occupied or enjoyed by The Manitoba Conference of the Seventh Day Adventists; Manitoba Conference of the Seventh Day Adventists; The Manitoba Conference of the Seventh Day Adventists; and The Manitoba Conference of Seventh-Day Adventists on April 27, 1966 is vested in the corporation, subject, however, to all such rights, obligations, and liabilities with respect to any property so acquired as existes at such a date; and nothing in this section contained shall be deemed in anywise to vary or otherwise affect any trust relating to such property.
Act to be treated as transfer, etc.
This Act is, and shall be and shall in all respects be treated for the purpose of every Land Titles Office, Registry Officer and other public office whatsoever in the province and of any and all transactions therein and of the officers administering them, as, a legal and valid grant, conveyance, transfer and assignment to the corporation or any and all properties, rights, and interests whatsoever that are vested in the corporation pursuant to the provisions of this Act, notwithstanding the provisions of any other Act of the Legislature and it is not necessary to register or file this Act, or register or file or issue any further or other instrument, document or certificate, or make any entry showing the transmissions or assignment of title to the corporation of any property, right or invest whatsoever other than the making of a memorial of such vesting on each certificate of title under The Real Property Act and on each mortgage or encumbrance under The Real Property Act that is about to be transferred or dealt with otherwise than by discharge thereof.
