The Salvation Army Grace General Hospital Incorporation Amendment Act

(Assented to June 24, 1992)

WHEREAS Grace Hospital was incorporated by An Act to incorporate "Grace Hospital", S.M. 1904, c. 71, and its name subsequently changed to The Salvation Army Grace General Hospital by An Act to amend An Act to incorporate "Grace Hospital", S.M. 1966, c. 96;

AND WHEREAS The Salvation Army Grace General Hospital was continued as a corporation by The Salvation Army Grace General Hospital Incorporation Act, R.S.M. 1990, c. 179;

AND WHEREAS The Salvation Army Grace General Hospital has by its petition prayed that it be enacted as hereinafter set forth, and it is expedient to grant the prayer of the petition;

THEREFORE HER MAJESTY, by and with the advice and consent of the Legislative Assembly of Manitoba, enacts as follows:

The Salvation Army Grace General Hospital Incorporation Act is amended by this Act.

Subsection 1(2) is repealed and the following is substituted:

General purpose

1(2)

The corporation shall have, enjoy and exercise all the powers, privileges and functions

(a) of one or more general hospitals, as a hospital is defined in The Hospitals Act, including an institution and other facilities under The Mental Health Act; and

(b) of an owner or operator of one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, including one or more personal care homes.

3(1)

Clause 2(c) is repealed and the following is substituted:

(c) without limiting the generality of the foregoing,

(i) own, build or operate one or more general hospitals, as a hospital is defined in The Hospitals Act, including an institution and other facilities under The Mental Health Act,

(ii) own, build or operate one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, including one or more personal care homes.

3(2)

Section 2 is amended by renumbering it as subsection 2(1) and by adding the following as subsection 2(2):

Natural person

Subject to the provisions of this Act and The Corporations Act, the corporation has the capacity, powers, rights and privileges of a natural person.

Section 3 is repealed and the following is substituted:

Board of Management

3(1)

The affairs of the corporation shall be managed by a board of management consisting of not less than 14 nor more than 25 individuals who shall be appointed, from time to time, by The Governing Council of The Salvation Army in Canada or its successor, in accordance with the by-laws made from time to time by The Governing Council of The Salvation Army in Canada or its successor and the by-laws made from time to time by the corporation.

Vacancies

3(2)

If any member of the board of management dies, resigns, becomes incapable, ceases to reside in Canada or refuses or neglects to act, or if a majority of the members of the board of management decides to remove a member, The Governing Council of The Salvation Army in Canada or its successor may appoint another individual to replace the member or fill the vacancy so created.

Subsection 4(1) is repealed and the following is substituted:

Chairperson, vice-chairperson, officers

The Governing Council of The Salvation Army in Canada or its successor shall, from time to time, appoint from among the members of the board of management a chairperson and a vice-chairperson, and the board of management shall, from time to time, appoint from among its members such other officers as it may from time to time consider necessary.

Clause 4(2)(d) is repealed and the following is substituted:

(d) The Executive Committee.

Section 5 is repealed and the following is substituted:

Other powers of board

The board of management shall have power to make by-laws, rules and regulations, not being contrary to law or the provisions of this Act, for all purposes relating to the board of management of, and any property belonging to, the corporation and, without limiting the generality of the foregoing, shall have power to make by-laws, rules and regulations

(a) relating to the ownership or operation of one or more general hospitals, as a hospital is defined in The Hospitals Act, including an institution and other facilities under The Mental Health Act;

(b) relating to the ownership or operation of one or more elderly or infirm persons' housing accommodations as referred to in The Elderly and Infirm Persons' Housing Act, including one or more personal care homes; and

(c) generally for the purposes of the corporation.

Coming into force

This Act comes into force on the day it receives royal assent.
